FileDistro Terms of Use

These Terms of Use (the Terms) are an agreement between you and the individual or entity operating this FileDistro instance (the Operator). They govern your access to and use of this private FileDistro service, including its storage, sharing, repository, meeting, and related features (the Service).

1. Acceptance and authority

By selecting the acceptance checkbox and continuing, you confirm that you have read and agree to these Terms. If you use the Service for an organisation, you also confirm that you are authorised to bind that organisation, and “you” includes that organisation. Do not use the Service if you do not agree or lack that authority.

2. Private and discretionary access

The Service is privately operated and is not offered to the public as an entitlement. An invitation is only a nomination: it does not approve an account or guarantee access. The Operator may approve, decline, limit, suspend, or withdraw any account or feature at the Operator’s discretion, with or without notice, subject to applicable law. There is no promise that similarly situated applicants or users will receive the same access.

3. Accounts and security

You must provide an email address you control, keep your credentials confidential, and promptly report suspected unauthorised access. Accounts are personal unless the Operator expressly agrees otherwise. You are responsible for activity performed through your account and for using suitable device security, strong passwords, and multi-factor protection where available.

4. Permitted use

You may use the Service only for lawful purposes, within the access and capacity the Operator grants you, and in a way that does not interfere with the Service or other users. The Service may not be resold, sublicensed, made available as a public storage platform, or used to provide a competing service without the Operator’s written permission.

5. Prohibited content and conduct

You must not upload, create, share, or use the Service for material or activity that:

  • is unlawful, fraudulent, threatening, abusive, or infringes another person’s rights;
  • contains malware, destructive code, stolen credentials, or instructions intended to compromise systems;
  • exploits or endangers children, or contains unlawful sexual or violent material;
  • attempts to bypass access controls, quotas, logging, scanning, or other safeguards;
  • places an unreasonable load on the Service, probes it without permission, or disrupts its operation; or
  • violates confidentiality, court orders, professional duties, sanctions, or export-control rules.

6. Your content and permissions

You retain your rights in files and other material you submit (Your Content). You give the Operator a limited, non-exclusive permission to host, copy, transmit, display, scan, back up, restore, and otherwise process Your Content only as reasonably needed to operate, secure, maintain, and comply with law in relation to the Service. This permission ends when Your Content is deleted, except for temporary backups, logs, legal holds, and copies already shared by you.

You confirm that you have the rights, permissions, notices, and lawful basis needed to submit and process Your Content and to share it with every recipient you select.

7. Sharing and recipients

Share links, meeting links, credentials, and invitations can allow other people to access content or features. You are responsible for choosing recipients, configuring restrictions, sending links securely, and revoking access when it is no longer appropriate. A recipient may retain a copy after access is revoked. Do not treat an unprotected link as confidential.

8. Professional, legal, and sensitive information

FileDistro is a general-purpose private file service. It is not a legal-practice management system, records-management system, certified archive, e-discovery platform, escrow service, or substitute for your own professional security and retention controls. The Operator does not become your lawyer, client, agent, fiduciary, records custodian, or business associate merely because you use the Service.

Lawyers and other regulated professionals remain solely responsible for confidentiality, legal privilege, client consent, supervision, data-location requirements, retention, disclosure, conflicts, and every other professional or regulatory obligation. The Operator does not promise that uploading material creates, preserves, or protects legal privilege.

Do not upload classified information, payment-card data, protected health information, criminal-justice data, export-controlled material, or other specially regulated data unless the Operator has expressly agreed in writing that the Service is suitable for it and any required contract is in place.

9. Security and malware scanning

The Operator may use access controls, logging, malware scanning, quarantining, rate limits, and other safeguards. No safeguard is perfect. A clean scan result is not a guarantee that a file is safe, and the Operator may block, quarantine, or remove content believed to present a risk. You must independently assess files before opening or distributing them.

10. Availability, changes, and backups

The Service is provided on an experimental, personal-use basis and may be changed, interrupted, or discontinued at any time. No uptime, support, recovery-time, retention, or storage commitment applies unless the Operator separately agrees to one in writing. You must keep current independent copies of important content. FileDistro must not be your only copy or system of record.

11. Privacy, monitoring, and legal requests

The Privacy Policy explains the main information the Service stores and how it is used. The Operator may review account, access, security, sharing, and technical records to operate and protect the Service, investigate suspected misuse, enforce these Terms, or respond to valid legal process. The Operator may preserve or disclose information where reasonably believed necessary to comply with law, protect people or systems, or establish or defend legal rights.

12. Suspension, termination, and deletion

You may stop using the Service at any time. The Operator may suspend or terminate access under section 2 or where reasonably necessary for security, legal compliance, misuse, or operational reasons. After termination, content may be deleted without recovery. Residual copies may remain temporarily in backups, logs, or legal holds. Provisions that by their nature should survive termination—including ownership, disclaimers, liability limits, and dispute provisions—will survive.

13. Disclaimers

To the fullest extent permitted by law, the Service is provided “as is” and “as available.” The Operator disclaims implied warranties and does not warrant that the Service will be uninterrupted, error-free, secure, fit for a particular purpose, or that content will be preserved or recoverable. Information or features provided through the Service are not legal, compliance, security, or other professional advice.

14. Limits of liability

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited. Subject to that, and to the fullest extent permitted by law, the Operator will not be liable for indirect, consequential, special, exemplary, or punitive loss, or for lost profits, business, goodwill, data, privilege, confidentiality, or opportunity arising from the Service. You accept that a free, privately operated service is not priced or designed to assume business-critical or professional risk.

15. General terms

If a provision is unenforceable, it will be limited or removed only to the extent necessary and the rest will remain effective. A failure to enforce a provision is not a waiver. You may not transfer your rights under these Terms without permission. No person other than you and the Operator has a right to enforce these Terms, except where applicable law provides otherwise.

The law and courts that ordinarily have jurisdiction over the Operator and the Service will govern, subject to any mandatory rights or rules that apply to you. Before bringing a claim, contact the person who granted you access and try to resolve the issue informally.

16. Changes and contact

The Operator may update these Terms. A material or versioned update may require you to review and accept the new terms before continuing. Your acceptance record identifies the version you accepted. Questions, notices, and requests should be sent to the person who granted or manages your FileDistro access.
